To start the presentation of this documentation,
we present here for the first time, Document
#1, filed in the California courts, when the Rosicrucian
Order, AMORC reincorporated on April 23, 1990. It is a 1990
Certificate of Amendment and Restatement of the Articles of Incorporation
of the Supreme Grand Lodge of The Ancient and Mystical Order Rosae
Crucis (Doc. # A385645 of the State of California). As you
will be able to read, Christian Bernard did not call himself Imperator,
but referred to himself as "President" of a non-profit public
corporation.
There is no need for further comment. The
Articles speak for themselves.
As we continue with the background material, Document
#2 is the "1976 Restated Articles
of Incorporation of the Supreme Gand Lodge". The
primary importance of this document is twofold. [Ref./Back

1) It shows that in 1976, when this
document was filed,
AMORC had what was called a "membership",
(see Section 2, letter b). It was also a "fraternal" organization,
(see Section 2, letter c). Now compare this to the April 23, 1990
Document #1 and read Section 4, first page, which states, "This corporation
has no members". Moving on to the second page, there it states
in Paragraph II and III that it is now a "public benefit corporation,"
etc., rather than the original "fraternal" organization it
once was—in essence a "business".
2) Please note that in the 1976 Articles
there is a Section 2, letter d, which states:
"To establish and maintain subordinate
lodges throughout its territorial jurisdiction and in accordance with the
provisions of its constitution, charge and collect such dues and
fix such qualifications as a prerequisite for membership as the board
of directors from time to time may deem neet and proper for the best interests
of the Order."
There is no such section or reference to a constitution
included in the April 1990 refiling and restatement of the Articles
of Incorporation. The 1990 Articles eliminated the
Constitution—indeed as a "school teaching about Rosicrucianism",
and as a "corporation for public benefit" now, instead of formerly being
a "fraternity" with "Rosicrucian" members, there is only "school policy",
students, and no Constitution. The elimination of the Constitution
also eliminated the foundation legally, for
A) a Tribunal of Imperator
Stewart prior to filing of any lawsuit outside the fraternal organization.
By
California corporate law, a Board of Directors of a corporation may remove
a "president" by simple vote, with or without a "reason".
B) AMORC's Consitutionally documented
lifetime appointment—by traditional selection of the predecessor
in the Western Esoteric Tradition—of the Imperator.
These Documents are being placed here due
to the many requests of current "members" of AMORC, to see
these words "in print and on the actual legal documents".
The membership issue vs. the fraternal issue seems to be a very important
question to those who are paying "membership dues" and the appearance it
gives to others. In comparing both Documents #1 and #2, one might
conclude there was a shifting of AMORC away from the fraternal
organization to the business world, and the desolution
of the Constitution AMORC once adhered to. The Constitution
affecting the operation of the Supreme Grand Lodge and its various jurisdictions,
as it was in effect prior to 1990, will be presented at a later point.
For a point of reference, we include now Document
#3 entitled "Articles of Incorporation
of the Grand Lodge of the English Language Jurisdiction, AMORC",
filed on September 21, 1990 (Court Document #1515624). This document
shows that the Grand Lodge and the Supreme Grand Lodge were no longer considered
one incorporated entity. There is no need for any comment beyond
this statement. We leave it to intelligent readers to discern, for
themselves, what had occured.
